Laboratorio Sistecam S.A. and Biosafe International Pte Ltd, announce today that a Letter of Intent has been signed by both Companies agreeing to a Merger and Acquisition where Biosafe International shall purchase 51%, or controlling interest in Laboratorio Sistecam S.A. located in San Jose Costa Rica.
Laboratorio Sistecam S.A. is the sole Manufacturer in Central and South America for the Axenohl Formulations and their derivatives, invented by Andrew B. Arata. The Master Distributor and Exporter for Laboratorio Sistecam S.A. in this region is SERVICIOS Y SOLUCIONES S.A. (SERSOL S.A.), a Costa Rican Company. Currently, Laboratorio Sistecam and SERSOL S.A. are working in conjunction with Public Health Authorities and conducting research with the Axenohl Technology to develop working disinfection protocols that will help control the spread of avian influenza, SARS and annual Influenza outbreaks.
The Acquisition of Laboratorio Sistecam by Biosafe International will transfer all existing Manufacturing Processes, Formulating Information and related Technical Data on the Axenohl Silver Dihydrogen Citrate Technology, along with all current Product Registrations, Trade Marks, Real Property Assets, Process Equipment, Inventory and Raw Materials, to Biosafe International. The current management of Laboratorio Sistecam will be retained and joined by new personnel from Biosafe International. The New Management Team’s goals will be centered on expanding market penetration with the Axenohl formulations in many regions and conducting extensive Research and Development with this technology. The Inventor of this molecular technology shall provide continual Technical Support, Oversight, Project Direction and Supervision.
